Constitutions
The constitution of a company comprises two documents – the Memorandum of Association and the Articles of Association. The memorandum regulates the external affairs of the company and the articles its internal affairs. They have a contractual effect between the company and its members and also between the members themselves. They also provide important details relating to the operation of the Board of Directors and the Annual general meeting. In practice most organisations use templates provided in the Companies Act.
