The Combined Code of Principles of Good Governance and Best Practice identifies factors leading to good governance as:
• An effective Board to lead and control
• Recognition that running the Board and running the business are separate tasks
• No individual having unfettered powers
• Timely and quality information available to the Board
• Formal and transparent procedures in place for director appointments to the Board
• Reporting which is balanced, understandable and a fair assessment of performance, current position and prospects
• Sound systems of internal control for the efficient carrying out of policies and safeguarding the organisation’s assets.
