Roles and responsibilities

The key roles of the Board are to ensure the organisation: has a clear sense of purpose and direction, has adequate resources and uses them to achieve its objectives and is properly and legally managed. There is no definitive list of roles on a voluntary organisation Board of Directors. Legally a director is a director regardless of title and all directors have duties as board members. All directors should be able to talk on all-round views of the organisation and work as a member of a team. A Statement of Reserved Powers can be used to clarify the dividing line between board matters and those which are the concern of the management.
